Terms of Use — HI Engine

These Terms of Use ("Terms") govern your access to and use of the Brancoy HI Engine platform ("Service", "Platform"), operated by Vcommerce Tech Oy ("Company", "we", "us", "our"), a company registered in Finland. By accessing or using the Service, you agree to be bound by these Terms.

 

1. Definitions

 

  • "User" — any individual or entity that creates an account and uses the Service.

  • "Store" — the e-commerce store (e.g., Shopify) connected to the Platform by the User.

  • "Data" — any information collected, processed, or generated through the Service.

  • "AI Insights" — automated analyses, recommendations, and reports generated by the Platform's AI systems.

  • "Team Member" — any person granted access to a User's account by the account owner.

 

2. Description of Service

 

Brancoy HI Engine is an AI-powered e-commerce growth platform that:

 

  • Connects to Users' e-commerce stores (Shopify) and analytics services (Google Analytics 4)

  • Analyzes store performance, traffic, SEO, and marketing data

  • Generates AI-driven insights, recommendations, and growth strategies

  • Provides scheduled automated audits and performance monitoring

  • Supports third-party integrations including Klaviyo, DataForSEO, and review platforms

 

3. Account Registration and Access

 

3.1. You must create an account to use the Service. You agree to provide accurate and complete registration information.

 

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

 

3.3. You may invite Team Members to your account. You are responsible for ensuring that all Team Members comply with these Terms.

 

3.4. You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service.

 

4. Third-Party Integrations and Authorizations

 

4.1. The Service requires you to authorize connections to third-party platforms, including but not limited to:

 

  • Shopify Admin API

  • Google Analytics 4

  • Klaviyo

  • DataForSEO

 

4.2. By authorizing these connections, you represent and warrant that you have the legal authority to grant the Service access to the relevant third-party accounts and data.

 

4.3. You acknowledge that the Service will read, process, and store data from these third-party platforms in accordance with our Privacy Policy.

 

4.4. We are not responsible for the availability, accuracy, or policies of third-party services.

 

5. Data Collection and Processing

 

5.1. The Service collects and processes the following types of data:

 

  • Analytics data — traffic, sessions, conversions, revenue, user demographics, device types, traffic sources from Google Analytics 4

  • E-commerce data — products, collections, orders, inventory information from Shopify

  • Marketing data — email performance metrics from Klaviyo

  • SEO data — keyword rankings, SERP positions, AI Overview mentions from DataForSEO

  • Review data — product reviews and sentiment from connected review platforms

  • Account data — authentication credentials, team member access levels

 

5.2. All data is stored securely on Supabase (PostgreSQL) infrastructure with row-level security policies. API credentials and secrets are encrypted using Supabase Vault.

 

5.3. Data processing is governed by our Privacy Policy, which forms part of these Terms.

 

5.4. Data processing complies with the EU General Data Protection Regulation (GDPR) and applicable Finnish data protection legislation.

 

6. AI-Generated Content and Insights

 

6.1. The Service uses artificial intelligence models (including Google Gemini, OpenAI, and other AI providers) to generate insights, recommendations, and analyses.

 

6.2. AI Insights are provided for informational purposes only. They do not constitute professional business, financial, legal, or marketing advice.

 

6.3. You acknowledge that AI-generated content may contain inaccuracies, errors, or incomplete information. You are solely responsible for evaluating and acting upon any AI Insight.

 

6.4. We make no warranties regarding the accuracy, completeness, or suitability of AI-generated recommendations for your specific business circumstances.

 

6.5. We are not liable for any business decisions made based on AI Insights provided by the Service.

 

7. Acceptable Use

 

7.1. You agree not to:

 

  • Use the Service for any unlawful purpose

  • Attempt to gain unauthorized access to any part of the Service

  • Reverse engineer, decompile, or disassemble any part of the Service

  • Use the Service to collect data about third parties without proper authorization

  • Resell, redistribute, or sublicense access to the Service without our written consent

  • Use automated tools (bots, scrapers) to access the Service outside of authorized integrations

  • Interfere with or disrupt the Service or its infrastructure

  • Upload malicious code, viruses, or harmful content

 

7.2. We reserve the right to suspend or terminate your account for violation of these Terms.

 

8. Intellectual Property

 

8.1. The Service, including its software, design, algorithms, documentation, and branding, is the intellectual property of Vcommerce Tech Oy. All rights are reserved.

 

8.2. You retain ownership of your Store data and any content you upload to the Service.

 

8.3. You grant us a limited, non-exclusive license to use your data solely for the purpose of providing and improving the Service.

 

8.4. AI Insights generated for your account are provided for your use. We retain the right to use anonymized and aggregated data to improve the Service.

 

9. Service Availability and Limitations

 

9.1. We strive to maintain high availability but do not guarantee uninterrupted access to the Service.

 

9.2. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

 

9.3. Background processing (scheduled audits, automated analyses) depends on third-party API availability and rate limits.

 

9.4. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

 

10. Fees and Payment

 

10.1. Access to the Service is subject to the pricing plan selected during registration or as subsequently agreed.

 

10.2. Fees are billed in accordance with the applicable subscription plan. All fees are exclusive of applicable taxes unless otherwise stated.

 

10.3. We reserve the right to change pricing with 30 days' prior written notice.

 

10.4. Failure to pay may result in suspension or termination of your account.

 

11. Limitation of Liability

 

11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES.

 

11.2. Our total aggregate liability under these Terms shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

 

11.3. We are not liable for:

 

  • Losses arising from your reliance on AI-generated insights

  • Third-party service outages or data inaccuracies

  • Unauthorized access to your account due to your failure to secure credentials

  • Changes to third-party APIs that affect Service functionality

 

12. Indemnification

 

You agree to indemnify and hold harmless Vcommerce Tech Oy, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

 

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any third party's rights

  • Any data you provide or authorize the Service to access

 

13. Privacy and Data Protection

 

13.1. Our collection and use of personal data is governed by our Privacy Policy.

 

13.2. We act as a data processor on your behalf when processing personal data from your connected platforms, in accordance with GDPR Article 28.

 

13.3. Upon termination of your account, we will delete or return your data in accordance with our data retention policy, subject to any legal obligations.

 

14. Termination

 

14.1. You may terminate your account at any time by contacting us or through the account settings.

 

14.2. We may terminate or suspend your account immediately if you breach these Terms.

 

14.3. Upon termination:

 

  • Your access to the Service will be revoked

  • Third-party API connections will be disconnected

  • Your data will be retained for 30 days, after which it will be permanently deleted unless legally required otherwise

 

15. Modifications to Terms

 

15.1. We may update these Terms from time to time. Material changes will be communicated via email or through the Service.

 

15.2. Continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

 

16. Governing Law and Dispute Resolution

 

16.1. These Terms are governed by the laws of Finland.

 

16.2. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation.

 

16.3. If negotiation fails, disputes shall be resolved by the District Court of Helsinki, Finland, unless mandatory consumer protection legislation provides otherwise.
